CESL este o lege privind v\u00e2nz\u0103rile destinat\u0103 s\u0103 func\u021bioneze, pe baz\u0103 voluntar\u0103, al\u0103turi de legisla\u021bia na\u021bional\u0103 privind v\u00e2nz\u0103rile, pentru p\u0103r\u021bile implicate \u00een tranzac\u021bii transfrontaliere B2C sau B2B. Aceast\u0103 propunere este rezultatul unui proces continuu de armonizare \u0219i integrare a dreptului privat \u00een cadrul UE \u0219i, dac\u0103 ar fi fost adoptat \u00een conformitate cu propunerea Comisiei, CESL ar fi devenit a dou\u0103zeci \u0219i opta lege privind v\u00e2nz\u0103rile \u00een Uniune.<\/p>\n<p>Pentru ca aceste ini\u021biative ambi\u021bioase s\u0103 se poat\u0103 implementa \u00een mod coerent la nivelul \u00eentregii UE \u0219i dorind s\u0103 contribuie \u00een mod activ ca CESL s\u0103 devin\u0103 un instrument mult mai eficient care s\u0103 serveasc\u0103 nevoilor \u00eentreprinerilor \u0219i consumatorilor \u00een Europa, European Law Institute (ELI) a intervenit \u00een sensul uniformiz\u0103rii \u0219i armoniz\u0103rii comprehensibile a m\u0103surilor ce se doresc luate \u00een cadrul CESL prin formularea \u00een 2012 a unei Declara\u021bii denumite \u201cStatement of the European Law Institute on the Proposal for a Regulation on a Common European Sales Law COM(2011) 635 final\u201d cu dou\u0103 suplimente, primul \u00een 2014 \u0219i al doilea \u00een 2015.<\/p>\n<p>The European Commission has advanced a while ago the idea of the need to formulate and adopt an EU model of contractual clauses and of establishing an optional contract law. In October 2011 the European Commission introduced a proposal for a Regulation for Common European Sales Law (CESL). The CESL is a sales law designated to operate on a voluntary basis alongside national sales laws for parties engaged in either B2C, or B2B cross-border transactions. This proposal is a result of an on-going process of private law harmonization and integration within the EU, and if had been adopted as proposed by the Commission the CESL would become a twenty-eighth sales law in the Union.<\/p>\n<p>For these ambitious initiatives to be coherently implemented across the EU and wishing to contribute actively for the CESL becoming a much better instrument that will serve the needs of traders and consumers in Europe, European Law Institute (ELI) intervened in the sense of uniform and comprehensible harmonization of the measures to be taken within the CESL by drafting in 2012 of a \u201cStatement of the European Law Institute on the Proposal for a Regulation on a Common European Sales Law COM(2011) 635 final\u201d with two other supplements to the Statement, first in 2014 and the second one in 2015.<\/p>\n<p><b>Raul-Felix HODO\u0218,&nbsp;<\/b><i>Contractele electronice sub impactul implement\u0103rii pie\u021bei unice digitale \u00een Europa (<\/i><i>Electronic contracts under the impact of the implementation of digital single market in Europe)<\/i><\/p>\n<p><i>&nbsp;<\/i><\/p>\n<p>Comisia European\u0103 a prezentat \u00een mai 2015 strategia privind pia\u021ba unic\u0103 digital\u0103. Reglement\u0103rile europene propuse urm\u0103resc reglementarea accesului pe aceast\u0103 pia\u021b\u0103, \u00eencurajarea inov\u0103rii online \u00een Europa \u0219i garantarea dreptului la servicii digitale mai bune. Impactul asupra \u00eencheierii contractelor \u00een mediul electronic este semnificativ, iar implementarea strategiei pie\u021bei unice digitale va conduce la o revizie a modului de formare \u0219i de executare a acestui tip de contracte, respectiv a utiliz\u0103rii mijloacelor de prob\u0103 a tranzac\u021biilor electronice. \u00cen urma analizei comparative a reglement\u0103rilor na\u021bionale \u0219i europene, lucrarea propune solu\u021bii de compatibilizare a acestora \u00een spiritul realiz\u0103rii pie\u021bei unice digitale.<\/p>\n<p>The European Commission presented in May 2015 the strategy about the digital single market. The proposed European regulations follow the rules that concern the access on this market, encouragement of online innovation in Europe and the guarantee of the right to better digital services. The impact on the conclusion of contracts in online environment is of major importance and the implementation of digital single market strategy will lead to a revision for the way of developing and fore-closure of this type of contracts, respective the use of the means of proof regarding the electronic transactions. Prezentul articol \u00ee\u0219i propune s\u0103 reia argumentele pentru care aceast\u0103 propunere este necesar s\u0103 fie adoptat\u0103, care sunt punctele sale forte \u0219i cum pot fi rezolvate principalele critici deja exprimate.<\/p>\n<p>The body of European regulations that proceeds to the minimal or even complete harmonization of the national laws of the Member States, the whole set of rules on European private international law, the unprecedented proliferation of international working groups, the numerous large-scale academic projects, the doctrinal encodings in the field of European law the European Parliament&#8217;s ambitious resolutions, together with the European Commission&#8217;s drafts and communications, describe in general the crux of the progressive Europeanization of private law and the setting up of a European contract law. Together, all these tendencies converging towards the gradual approximation of the various national laws of the European Union have always been animated, among other things, by the pragmatic objective of facilitating the expansion of cross-border trade within the internal market. A strategic investment of the European Commission, driven by the strength of this trajectory (on 11 October 2011, the European Commission is moving towards wider intervention in the area of \u200b\u200bEuropean contract law, publishing the Proposal for a Regulation on Common European Sales Law) is still not adopted today. This article aims to resume the arguments for which this proposal needs to be adopted, what are its strengths and how the main criticisms already expressed can be resolved.<\/p>\n<p><b>Bazil OGLIND\u0102,&nbsp;<\/b><em>Ipoteze ale aplic\u0103rii de c\u0103tre judec\u0103tor\/arbitru a teoriilor \u201dNo oral Modification\u201d \u0219i \u201dPromissory Estoppel\u201d consacrate \u00een principiile dreptului european al contractelor EN: Hypotheses of Application by Judges\/Arbitrators of the \u201dNo oral Modification\u201d and \u201dPromissory Estoppel\u201d Theories Recognized by the Principles of European Contract Law<\/em><\/p>\n<p>O ipotez\u0103 din ce \u00een ce mai des \u00eent\u00e2lnit\u0103 este aceea \u00een care p\u0103r\u021bile invoc\u0103 \u00een fa\u021ba instan\u021belor na\u021bionale\/ tribunalelor arbitrale teorii consacrate la nivel european, \u00een special \u00een sistemul de common law (de exemplu&nbsp;:&nbsp; \u201d<i>no oral modification clause<\/i>\u201d, \u201dpromissory estoppel\u201d) \u00een sus\u021binerea cererilor \u0219i ap\u0103r\u0103rilor lor.&nbsp;Cu toate c\u0103 nu se reg\u0103sesc men\u021bionate expres, con\u021binutul acestor teorii se reg\u0103se\u0219te \u00een reglementarea Principiilor de drept european al contractelor.&nbsp;&nbsp;Prin urmare, lucrarea \u00ee\u0219i propune o analiz\u0103 a ipotezelor \u00een care judeca\u0103torul\/arbitrul poate aplica aceste teorii, prin raportare la modul \u00een care p\u0103r\u021bile au f\u0103cut referire, direct sau indirect la aplicarea Principiilor de drept european al contractelor, precum \u0219i a situa\u021biilor \u00een care princiipiile de drept european al contractelor sunt aplicabile \u00een lipsa men\u021biunilor p\u0103r\u021bilor.<\/p>\n<p>More frequently than ever the parties are pleading in front of European courts the application of&nbsp;<i>common law<\/i>&nbsp;theories accepted at European level (for example:&nbsp;<i>\u201dno oral modification clause\u201d, \u201dpromissory estoppel\u201d)&nbsp;<\/i>&nbsp;in order to support their claims.&nbsp;Even if the above mentioned theories are not expressly included in the Principles of European Contract Law, their content is regulated by the Principles.&nbsp;Therefore, the aim of this paper is to analyze the hypothesis in which the judges\/arbitrators are able to apply these theories considering the direct or indirect manner in which the parties referred to the application of the Principles of European Contract Law to their contract and also, the situation in which the parties did not refer to the Principles at all.<\/p>\n<p><b>Gina ORGA-DUMITRIU<\/b>,&nbsp;<i>Recep\u021bia teoriei grupurilor de contracte \u00een dreptul european al contractelor<\/i><\/p>\n<p>Rela\u021bia dintre teoria grupurilor de contracte \u0219i principiul efectului relativ al conven\u021biilor este, \u00een dreptul civil al obliga\u021biilor, o adev\u0103rat\u0103 str\u00e2mtoare a Danaidelor. Developed in French doctrine, the theoretical construction of contract groups is seductive and, above all, controversial. Recognized as a legal reality only in French, Belgian and Luxembourg law, the formula of the contract groups remains for other national legislators only an economic reality, the most often challenges of which are manifested in the legal field, regarding the nature of responsibility among the partners of the group, namely the contractual \/ tort nature of the sub-acquirer\u2019s direct action against the manufacturer-original seller of the goods.<\/p>\n<p>The study starts with the description of the contracts groups popularized by Professor Bernard Teyssi\u00e9 which distinguish between (i) chains of contracts with a linear structure (homogeneous and heterogeneous) or with a radiant structure, and ii) ensembles of contracts&nbsp; (interdependent and divisible) (I). Subsequently, with a punctual reference to direct action in international chains of contracts, we will proceed to the analysis of the determination of jurisdiction in the situation of (i) the absence or existence of an attribution clause of competence or (ii) by the application of the rules established by the Brussels Convention of September 27, 1968, respectively The Brussels Regulation I (II) and the legislative competence with reference to the applicable law i) to the action stemming from a translational ownership chain, namely ii) the action stemming from a non-translational ownership chain (III).
